In recent developments, Charter announced in November 2024 a definitive all-stock agreement to acquire Liberty Broadband, with stockholder approvals secured in February 2025; the transaction, valued to address Liberty Broadband's approximately $2.6 billion debt (excluding GCI debt), remains pending customary closing conditions including the planned spin-off of GCI Holdings to Liberty Broadband stockholders expected in summer 2025. In May 2025, Liberty Broadband agreed to accelerate the Charter acquisition closing to align with Charter's concurrent combination with Cox Communications, while providing voting support for that transaction and planning resignation of its three nominees from Charter's board upon closing; additionally, ongoing monthly Charter share repurchases from Liberty Broadband, approximately $100 million, facilitate debt repayment ahead of the merger.
